Terms of Service

1. Acceptance of Terms

By accessing or using the VQFlow platform ("Service"), operated by VQFlow Systems ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

2. Description of Service

VQFlow is an enterprise-grade data labeling and annotation platform that enables organizations to outsource, manage, and quality-assure ground truth data for machine learning and computer vision applications. The Service includes tools for dataset management, media annotation, quality assessment, workforce management, and analytics.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. User Roles and Responsibilities

The Service supports multiple user roles, including but not limited to:

• Reviewers: Individuals responsible for annotating and labeling data. Reviewers must complete assigned tasks accurately and within specified timelines.
• QA Managers: Users responsible for quality assurance, reviewing annotations, and maintaining data quality standards.
• Individual Customers: Users who upload, organize, and manage datasets directly for themselves within the platform.
• Organization Administrators: Authorized representatives who manage datasets and organization-level workspace activity on behalf of a company using the platform.
• System Administrators: Users with elevated privileges to manage system settings, users, and platform configuration.

Each user must operate within the scope of their assigned role and must not attempt to access features or data beyond their authorization level.

5. Data and Intellectual Property

You retain all ownership rights to the data, datasets, and media you upload to the Service ("Your Data"). By uploading data, you grant VQFlow a limited, non-exclusive license to process, store, and display Your Data solely for the purpose of providing the Service to you.

Annotations, labels, and quality assessments created through the Service using Your Data belong to you. VQFlow does not claim any ownership rights over Your Data or derivative works created through annotation.

All intellectual property related to the VQFlow platform, including its software, algorithms, user interface, and documentation, remains the exclusive property of VQFlow Systems.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload content that infringes on the intellectual property rights of others.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Share your account credentials with unauthorized third parties.
• Upload malicious software, viruses, or harmful code to the platform.
• Scrape, harvest, or collect data from the Service through automated means without authorization.

7. Reviewer Compensation

Reviewers who perform annotation work through the Service may be eligible for compensation based on the applicable payout structure. Compensation rates, payout methods, and payment schedules are subject to the terms of the reviewer's agreement with their engaging organization. VQFlow facilitates the tracking of work performed but is not responsible for the payment terms between reviewers and their organizations.

8. Verification and Compliance

Certain users may be required to complete Know Your Customer (KYC) or Know Your Business (KYB) verification before accessing specific features of the Service. You agree to provide truthful identity or business documentation and acknowledge that access to certain features may be restricted until verification is complete.

9. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes that affect their use of the platform.

10. Limitation of Liability

To the fullest extent permitted by applicable law, VQFlow Systems and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of or inability to use the Service.

11. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or engage in conduct that we determine to be harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which VQFlow Systems is incorporated. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify users through the platform or via email. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
